Parties
This Agreement is between Symmetry Lab Inc. ("Symmetry Lab"), of Warehouse No. 23 Century Commercial Complex 5 Paliparan-Molino Road, Brgy. Salawag, Dasmariñas, Cavite, Philippines, and the Partner Buyer named in the approved Application Form:
The Partner Buyer (details as stated in the Application Form) — Enthusiast member ("Buyer").
It takes effect on the date Symmetry Lab approves the Buyer’s application.
1. Purpose
All products are bought for personal use, collection, gifts or events (such as weddings, birthdays or holidays) only, not for resale.
2. Liability
If Symmetry Lab finds reasonable evidence that the Buyer sold any product, the Buyer alone is responsible for all taxes, penalties and legal consequences. Symmetry Lab has no liability and will be held harmless from any claim or cost.
3. Price list
Discounts and minimum orders follow Symmetry Lab’s current Scent Lounge price list, which may be updated with notice. The Enthusiast plan gets 25% off 60 ml and 30% off 90 ml perfumes. All prices include 12% VAT.
4. Orders and purchase limit
Each box contains 12 bottles of one scent. First-order minimum: 3 boxes (36 bottles). Re-orders start from 2 boxes. Maximum boxes per scent per order: 2. Every box comes with ten (10) 2 ml samples of the same scent at the sample price shown in the portal; they are added to the order automatically.
5. Reseller Program
The Buyer may apply to Symmetry Lab’s Reseller Program as a registered business. Applications are subject to Symmetry Lab’s review and approval; once approved, the Scent Lounge membership ends and the Reseller Agreement applies.
6. Payment
Orders are shipped only after full payment by bank transfer, GCash or other channels approved by Symmetry Lab. Shipping fees are paid by the Buyer.
7. Delivery
Delivery time depends on the Buyer’s location and the courier. Items lost or damaged in transit must be reported within 7 days of delivery, and Symmetry Lab will handle the claim with the courier.
8. Cancellation
A paid order may be cancelled for a full refund only before it is shipped.
9. Promos
The member discount cannot be combined with store promos or sales. The higher discount applies.
10. Non-transferable
Partner membership and discounts are for the Buyer’s use only and cannot be shared or transferred.
11. Brand use
The Buyer may not use Symmetry Lab’s name, logo or photos to advertise or sell, or list products on online marketplaces (e.g., Shopee, Lazada, Facebook Marketplace).
12. Suspension
Symmetry Lab may stop the member discount or refuse orders if any term is broken, after giving the Buyer written notice and 7 days to explain.
13. Termination
The Buyer may end their Partner membership anytime by written notice to Symmetry Lab. Symmetry Lab may end it for a serious or repeated breach, after the steps in Clause 12.
14. Returns
Items may be exchanged only if damaged or incorrect, unused and in original packaging, and reported within 7 days of delivery with an unboxing video.
15. Validity and bracket
Partner membership is valid for 1 year and may be renewed if the Buyer ordered at least once during the year. A Buyer who does not reorder within 6 months may be moved to a lower bracket.
16. Data privacy
The Buyer consents to Symmetry Lab collecting and using their personal information for Partner membership and orders only, in line with the Data Privacy Act of 2012. Data is kept while the membership is active and up to 2 years after. The Buyer may ask to access, correct or delete their data through Symmetry Lab’s Data Protection Officer at privacy@symmetrylabparfums.com.
17. Entire agreement
This Agreement, the Application Form and the current Partner price list make up the whole agreement and replace any earlier messages or promises.
18. Amendments
This Agreement may only be changed in writing by Symmetry Lab, except for the Partner price list, which may be updated under Clause 3.
19. Severability
If any term is found invalid, the rest of this Agreement stays in effect.
20. Governing law
This Agreement follows the laws of the Philippines.
Acceptance
By submitting the application online, the Buyer confirmed they have read, understood and agree to these terms. Typing the Buyer’s full name and ticking the acceptance box in onboarding, while signed in to the Buyer’s account, is the Buyer’s electronic signature, in line with the Electronic Commerce Act of 2000 (Republic Act No. 8792) and the Rules on Electronic Evidence. Symmetry Lab records the typed name, the date and time, the account email, the IP address and device used, and a fingerprint (SHA-256) of the exact Agreement text shown before signing.
